These Terms of Sale (hereinafter referred to as the "Terms") govern the use of the Zelena Energija ZFOS DOO online store, as well as the procedure for purchasing goods and services placed on the zelenergija.me website.
By using this website, placing an order, or paying an invoice (including an invoice containing an offer), the Buyer confirms that they have read and fully accept these Terms.
1. General Provisions
1.1. These Terms regulate the relationship between Zelena Energija ZFOS DOO (hereinafter referred to as the Seller) and individuals or legal entities (hereinafter referred to as the Buyer) in the sale of equipment for solar power plants, components, related products, as well as in the provision of services for design, supply, installation, commissioning, and maintenance.
1.2. These Terms apply to:
- purchases made through the website;
- purchases based on an individual commercial offer;
- purchases based on an invoice;
- purchases based on an offer;
- purchases through company managers.
1.3. For certain types of goods, services, or projects, additional conditions may apply, which are an integral part of the contract.
1.4. In case of contradictions between these Terms and an individual Offer, the provisions of the Offer shall prevail.
1.5. Use of the website means the User's consent to these Terms, Privacy Policy, Cookie Policy, and other published documents.

3. Scope of Activity
The company carries out:
- sale of solar panels;
- sale of inverters;
- sale of battery systems;
- sale of components;
- sale of ready-made solar power plant kits;
- design of solar power plants;
- equipment installation;
- maintenance;
- technical consulting;
- other related services.
The information posted on the website is for informational purposes only and does not constitute a public offer, unless expressly stated otherwise.

6. Product Availability
The availability of goods on the website does not guarantee their actual availability in stock.
Some goods are supplied exclusively by order.
After placing an order, the manager confirms:
- delivery possibility;
- current cost;
- delivery times;
- completeness;
- availability of necessary accessories.
If after placing an order it turns out that the selected model cannot be supplied, the Seller has the right to offer similar equipment with similar or improved characteristics.
Replacement is carried out only after agreement with the Buyer.
7. Prices
All prices on the website are indicated in Euros (€), unless otherwise specified.
If applicable, prices include taxes in accordance with the legislation of Montenegro.
The company reserves the right to change prices without prior notice.
However, the cost of an already confirmed order is not subject to change, unless otherwise agreed by the parties.
In case of an obvious technical error in the product price (for example, due to a software malfunction, data loading error, or human error), the Seller has the right to cancel the order before its confirmation and offer the Buyer to place a new order at the correct price.
8. Placing an Order
An order can be placed:
- through the online store;
- via email;
- through the feedback form;
- through a company manager;
- based on an individual commercial offer;
- by signing or paying an Offer.
After receiving an order, the Seller has the right to contact the Buyer to clarify:
- equipment composition;
- delivery address;
- technical parameters of the object;
- payment method;
- delivery times;
- the need for installation work.
Before confirming the order, the company has the right to request additional information necessary for the correct execution of the order.
9. Conclusion of the Contract
The placement of goods on the website itself does not constitute a public offer.
The contract is considered concluded:
- after written confirmation of the order by the Seller; or
- after payment of the issued invoice; or
- after acceptance of the Offer by the Buyer; or
- after signing a separate agreement between the parties.
For individual projects, construction, installation, and equipment supply are carried out in accordance with the terms of the Offer or a separate agreement.
10. Individual Projects
Most solar power plants are designed individually.
Performance calculations, equipment selection, commercial offers, and technical solutions are prepared based on the information provided by the Buyer.
If, after project preparation, the Buyer changes the initial data (roof type, installation location, connection power, equipment composition, system requirements, etc.), the Seller has the right to:
- adjust the cost;
- change the execution times;
- prepare a new commercial offer.
Until the changes are agreed upon in writing, the Seller is not obliged to proceed with the modified project.
11. Payment
11.1. Payment for goods and services is made by methods available on the website or agreed upon by the parties.
11.2. For certain categories of equipment, as well as for individual projects, the following may be provided:
- full prepayment;
- partial prepayment (advance payment);
- staged payment;
- other payment procedures provided for by a commercial offer, Offer, or separate agreement.
11.3. The Buyer's payment obligation is considered fulfilled from the moment the funds are received in the Seller's bank account.
11.4. Until full payment, the Seller has the right to suspend the supply of equipment, installation work, or the provision of other services.
11.5. If the Buyer violates the agreed payment terms, the Seller has the right to:
- suspend order execution;
- postpone delivery dates;
- recalculate the cost of equipment in case of changes in purchase prices;
- refuse to execute the order in cases provided by law and the contract.
12. Delivery
12.1. Delivery is carried out on the territory of Montenegro, unless otherwise agreed by the parties.
12.2. Delivery conditions are detailed in a separate Shipping Policy, which is part of these Terms.
12.3. Delivery times are approximate and depend on:
- product availability;
- delivery region;
- carrier operations;
- weather conditions;
- customs clearance;
- actions of government agencies;
- other circumstances beyond the Seller's control.
12.4. For equipment supplied by order, delivery times are determined by a commercial offer, Offer, or separate agreement.
12.5. The Seller has the right to carry out delivery by:
- courier service;
- transport company;
- own transport;
- other agreed method.
13. Transfer of Ownership and Risk
13.1. Unless otherwise provided by law or contract, ownership of the equipment passes to the Buyer after full payment of the cost of the goods.
13.2. The risk of accidental loss or accidental damage to the equipment passes to the Buyer from the moment the equipment is transferred to the Buyer or an authorized person.
13.3. The transfer of equipment is confirmed by:
- waybill;
- acceptance certificate;
- shipping document;
- or any other document confirming the transfer.
14. Equipment Inspection upon Receipt
14.1. The Buyer is obliged to check:
- completeness;
- compliance with the order;
- absence of visible damage;
- quantity of goods.
14.2. In case of detection of damage to the packaging or equipment, it is recommended to:
- take photos;
- notify the carrier;
- indicate remarks in the carrier's documents;
- notify the Seller immediately.
14.3. Signing acceptance documents without remarks confirms the absence of claims regarding the quantity, completeness, and visible damage to the equipment.
This provision does not limit the Buyer's right to submit claims regarding hidden defects discovered during operation within the warranty period.
15. Installation Work
15.1. Equipment installation is carried out only if such a service was ordered by the Buyer and confirmed by a commercial offer, Offer, or separate agreement.
15.2. Unless otherwise provided by the contract, the cost of installation includes only the work necessary to install the equipment specified in the order.
15.3. Unless expressly agreed otherwise by the parties, the installation cost does not include:
- reconstruction of existing electrical networks;
- replacement of distribution boards;
- installation or restoration of grounding;
- construction work;
- excavation work;
- roof repair or reinforcement;
- creation of additional cable routes;
- obtaining permits from government agencies;
- third-party services;
- any work not explicitly specified in the commercial offer.
16. Buyer's Obligations during Installation
The Buyer is obliged to:
- provide free access to the object;
- provide safe working conditions;
- provide access to electrical panels and the equipment installation site;
- provide reliable information about existing engineering communications;
- ensure the proper condition of the existing electrical network of the object;
- ensure the possibility of completing the work within the agreed timeframe.
If installation work becomes impossible due to reasons attributable to the Buyer, the Seller has the right to postpone the deadlines for completing the work and demand reimbursement of additional expenses, if any.
17. Connection to the Electrical Grid
If the involvement of a distribution network operator, energy supply organization, or other third parties is required for commissioning the system, the connection deadlines depend solely on the respective organizations.
The Seller does not guarantee the processing times for applications, issuance of technical conditions, approvals, or completion of work by government bodies and organizations responsible for connecting facilities to the electrical grid.
If a safe final connection is impossible for reasons beyond the Seller's control, the equipment may be fully assembled and prepared for connection. In this case, the installation obligations are considered fulfilled.
18. Acceptance of Completed Works
Upon completion of installation work, the parties shall sign an Act of Completed Works or other document confirming the completion of installation.
If the Buyer:
- has commenced operation of the system;
- uses the installed equipment;
- or has not sent written comments within three calendar days after notification of completion of work,
the installation work is considered accepted without comments.
This provision does not limit the Buyer's rights to make claims regarding hidden defects discovered during the warranty period.
19. Additional Works
If, during the execution of the order, it becomes necessary to perform additional work not provided for in the original order, such work shall only be performed after agreement with the Buyer.
The cost, deadlines, and scope of additional work shall be formalized by a separate agreement, an additional estimate, or other written confirmation by the parties.
20. Right to Withdraw from Contract and Return Goods
20.1. If the Buyer is an individual (consumer), they have the right to withdraw from the sales contract in the cases and manner provided for by the legislation of Montenegro.
20.2. The terms, deadlines, and procedure for returning goods, as well as the list of non-returnable goods, are detailed in a separate Return & Warranty Policy, which is an integral part of these Terms.
20.3. For equipment manufactured, supplied, or modified according to the Buyer's individual order, the right to withdraw from the contract may be limited in cases provided for by Montenegrin law.
20.4. When concluding an individual Offer, the procedure for refunding money is determined by the terms of the respective Offer, insofar as it does not contradict mandatory legal norms.
21. Warranty
21.1. The equipment is covered by the manufacturer's or official supplier's warranty in accordance with the terms of the corresponding warranty document.
21.2. The Company is not the manufacturer of the equipment and does not provide an independent commercial warranty for the equipment, unless explicitly stated otherwise in the contract or warranty document.
21.3. The Company accepts buyer claims for warranty cases, organizes initial diagnostics, and, if necessary, interacts with the manufacturer or official supplier of the equipment.
21.4. The installation work performed by the company is covered by a warranty period of 24 months, unless a different period is specified in the contract.
21.5. Warranty obligations, terms, exclusions, and the procedure for handling warranty claims are determined by:
- The Warranty Certificate;
- The Warranty for installation work;
- The manufacturer's terms;
- The current legislation of Montenegro.
22. Equipment Operation
The Buyer is obliged to use the equipment in strict compliance with:
- the manufacturer's technical documentation;
- operating instructions;
- the requirements of current electrical safety standards.
The following are not considered equipment malfunctions:
- reduction in battery capacity due to natural aging;
- reduction in battery capacity when operated in low temperature conditions;
- temporary limitation of inverter power due to built-in protective functions;
- change in solar panel power due to ambient temperature;
- temporary limitation of generation due to electrical grid parameters;
- other features provided for in the manufacturer's technical documentation.
23. Performance of Solar Power Plants
The calculation of expected electricity generation, monetary savings, and payback period is purely prognostic.
Actual indicators depend on many factors, including:
- climatic conditions;
- solar activity;
- seasonality;
- ambient temperature;
- orientation and tilt angle of panels;
- presence of shading;
- surface contamination of modules;
- electrical grid parameters;
- quality of equipment operation;
- other circumstances beyond the Seller's control.
The Company does not guarantee the achievement of a specific volume of electricity generation, amount of savings, or payback period for investments, unless explicitly provided for by a separate written agreement.
24. Limitation of Liability
24.1. The Company's liability is limited solely to the extent established by the laws of Montenegro.
24.2. The Company is not liable for:
- actions or inactions of third parties;
- power outages;
- actions of the electricity grid operator;
- consequences of natural disasters;
- equipment damage due to improper operation;
- unauthorized interference with equipment design;
- malfunctions of existing electrical networks at the facility;
- inability to operate equipment due to reasons beyond the Company's control.
24.3. Unless otherwise provided by mandatory legal norms, the Company is not liable for:
- lost profits;
- indirect damages;
- data loss;
- equipment downtime;
- loss of income;
- any other indirect consequences.
24.4. The total liability of the Company shall not exceed the value of the goods or services in respect of which the dispute arose, unless otherwise provided by mandatory legal norms.
25. Force Majeure
The Company is released from liability for full or partial non-performance of obligations due to circumstances of force majeure, including, but not limited to:
- natural disasters;
- fire;
- military actions;
- terrorist acts;
- strikes;
- epidemics;
- changes in legislation;
- actions of state bodies;
- disruptions in international supplies;
- transport restrictions;
- other circumstances that could not have been reasonably foreseen or prevented.
- The period for fulfilling obligations shall be extended for the duration of such circumstances.
26. Intellectual Property
All materials posted on the website, including:
- texts;
- photographs;
- graphics;
- schematics;
- project documentation;
- logos;
- corporate identity;
- software;
- website design,
are objects of intellectual property and are protected by the laws of Montenegro and international agreements.
Any use of materials without the prior written consent of the Company is prohibited, except in cases explicitly provided for by law.
27. Personal Data
The processing of personal data is carried out in accordance with the current legislation of Montenegro and the Privacy Policy published on the website.
By using the site, the Buyer confirms that they have read and understood the specified Policy.
28. Amendment of these Terms

The new version comes into force from the moment of publication on the website, unless explicitly stated otherwise.
The version of the Terms in effect at the time of placing the relevant order or concluding the contract shall apply to the relations between the parties.
29. Governing Law
These Terms are governed by the laws of Montenegro.
If individual provisions of these Terms are deemed invalid or unenforceable, this shall not affect the validity of the remaining provisions.
30. Dispute Resolution
The Company and the Buyer undertake to strive to resolve all disagreements through negotiations.
If no agreement is reached, the dispute shall be submitted to the competent court of Montenegro, unless otherwise provided by mandatory legal norms.
